Official Rules for the Netflix Movie Watching Contest
No Purchase Required to Enter or Win

ELIGIBILITY: The Netflix Movie Watching Contest (the "Contest") is open only to legal residents of fifty (50) United States (including the District of Columbia) who are at least eighteen (18) or have reached the age of majority in their jurisdiction of residence, whichever is older. Employees of Netflix, Inc. or other companies associated with the promotion of the Contest, as well as the immediate family (spouse, parents, siblings, and children) and household members of each such employee are not eligible. Contest winners will be invited to participate in the Netflix Movie Watching World Championship (the "Championship"), to be held in New York, NY starting October 2, 2008. Together, the Contest and the Championship shall be known as the "Promotion."

SPONSOR: The Promotion is sponsored by Netflix, Inc., 100 Winchester Circle, Los Gatos, CA 95032 (the "Sponsor").

AGREEMENT TO OFFICIAL RULES: Participation in the Contest constitutes entrant's full and unconditional agreement to and acceptance of these Official Rules and the decisions of the Sponsor, which are final and binding. Winning a prize is contingent upon fulfilling all requirements set forth herein.

ENTRY PERIOD: The Contest begins at Midnight Pacific Time on Monday, September 8, 2008 and ends at Midnight Pacific Time on Monday, September 22, 2008 (the "Entry Period"). Entries that are submitted before or after the Entry Period will be disqualified.

CREATE AN ENTRY: To enter, you must create a video that either (a) shows how you would mentally and physically prepare for the Championship if you were chosen to compete or (b) explains why you are interested in competing in the Championship and why you think you would win the Championship (your "Entry"). Your Entry must meet each of the following requirements:

The Entry must be no longer than three (3) minutes.

The Entry should not contain any copyrighted elements or trademarks other than elements owned by the entrant. Any elements that appear in the Entry, including without limitation, images, music, audio, speech, or other audiovisual materials used must be entirely original, created and performed solely by the entrant, or be in the public domain. Use of any elements that are not original or in the public domain may result in disqualification of the Entry, in the Sponsor's sole discretion. By submitting a video, entrants certify that they have rights to use any copyrighted or trademarked material in their video, and that their use of copyrighted or trademarked material their video does not violate any copyright or trademark rights of any third party or other entity.

The Entry should not be obscene or indecent, it should not contain defamatory statements, it should not include threats to any person, place, business, or group, it should not invade privacy rights or any other rights of any person, business, or group, and it must not name or depict any third party without his/her permission.

The Entry should not depict or encourage any dangerous, life-threatening, or otherwise risky behavior, and the use of such behavior is not condoned by Sponsor.

By submitting a video, entrant agrees to defend, indemnify and hold Sponsor, its directors, officers, employees, agents, affiliates, successors and assigns harmless from and against any and all third party claims, liabilities, damages, losses, costs and expenses (including reasonable attorneys' fees and expenses, including, without limitation, the expense of enforcing this provision) to the extent arising out of or related to the submission of their video or the video itself.

SUBMIT YOUR ENTRY: Once you have created an Entry that meets each of the requirements set forth above, visit http://www.facebook.com/pages/Netflix-Movie-Watching-World-Championship/22955644892?ref=ts (the "Website"), become a fan of the page, and follow the instructions to submit your Entry. There is a limit of one (1) Entry per person.

ENTRANT'S WARRANTIES AND REPRESENTATIONS: By submitting an Entry, each entrant warrants and represents:

The Entry (i) is original to the entrant, (ii) does not infringe the intellectual property, privacy, publicity, or any other rights of any third party, (iii) does not violate any law or regulation, (iv) has not previously been entered in any other Contest, and (v) has not been previously published in any medium.

To the extent the Entry depicts any individual or features the voice of any individual, the entrant is the individual pictured and heard in the submission, or, alternatively, that the entrant has obtained permission from each person appearing in the entry or, if that person is a minor, permission from that person's parent or legal guardian, to grant the rights to the Sponsor described in the "Sponsor's Rights to Entries" section below, and can make written copies of such permissions available to the Sponsor upon request.

SPONSOR'S RIGHTS TO ENTRIES: By submitting an Entry, each entrant:

Irrevocably grants to the Sponsor, its agents, licensees, and assigns the unconditional and perpetual (non-exclusive) right and permission to copyright, reproduce, encode, store, copy, transmit, publish, post, broadcast, display, publicly perform, adapt, modify, create derivative works of, exhibit, and otherwise use the Entry as-is or as-edited (with or without using the entrant's name) in any media throughout the world for any purpose, without limitation, and without additional review, compensation, or approval from the entrant or any other party.

Forever waives any rights of copyrights, trademark rights, privacy rights, and any other legal or moral rights that may preclude the Sponsor's use of the entrant's Entry, or require the entrant's permission for the Sponsor to use the Entry.

Agrees not to instigate, support, maintain, or authorize any action, claim, or lawsuit against the Sponsor on the grounds that any use of the Entry, or any derivative works, infringes any of the entrant's rights as creator of the Entry, including, without limitation, copyrights, trademark rights, and moral rights.

SELECTION OF CONTEST WINNERS: After the Entry Period, a panel of judges selected by the Sponsor will evaluate all entries based on the following criteria (the "Judging Criteria"): (a) how well the Entry demonstrates the entrant's passion for movie watching; (b) creativity; (c) humor; and (d) how well the Entry is filmed. One or more entrants judged to best meet these criteria will be invited to participate in the Championship to be held in New York on October 2, 2008 ("Contest Winner"). The decisions of the Judges are final and binding. Contest Winners will be notified by a message to their Facebook account. The odds of being selected depend on the relative performance of all entrants and the number of eligible entries received.

REQUIREMENTS OF CONTEST WINNERS: Except where prohibited, each Contest Winner will be required to sign and return an affidavit of eligibility and a liability/publicity release in order to participate in the Championship. In addition, a Contest Winner may be required to provide a note signed by a physician certifying that the Contest Winner is in good physical and mental health such that participating in the Championship should not pose a health risk to the Contest Winner. If a Contest Winner fails to return the required documents or is otherwise ineligible to receive the prize, an alternate entrant may be selected in his/her place according to the Judging Criteria (if time permits).

PRIZES FOR CONTEST WINNERS: Each Contest Winner will receive round-trip coach-class airfare from the airport closest to the Contest Winner's home to New York and two nights of hotel accommodations. Accommodations and airline will be selected by Sponsor in its sole and absolute discretion. Contest Winners must be able to travel between on Wednesday, October 1, 2008 or else will forfeit the prize. The approximate retail value of the airfare and accommodations is $1,500. The Sponsor reserves the right to substitute ground transportation for airfare. All other costs and expenses not set forth above, including, but not limited to, ground transportation, meals, and taxes, are the responsibility of each Contest Winner.

SELECTION OF GRAND PRIZE WINNER: Championship participants must watch feature-length movies (minimum of 90 minutes), including opening sequences and closing credits. Championship participants will be given a ten-minute break between movies. A participant's eyes must be open at all times in order to remain in the Championship. The participant who stays awake the longest will be deemed the Grand Prize Winner. Participants may not take any illegal drugs, or prescription medication for which they do not have a prescription, for the purpose of helping them stay awake during the Championship. Medical staff provided by the Sponsor will be on site at the Championship and shall have the ability to disqualify or remove a participant from the Championship if such medical staff deems a participant to have violated these rules, be medically unfit to continue participating in the Championship, or for any other health or safety related reason. Decisions of such medical staff will be final and participants may not challenge or appeal the decisions of such medical staff. Additional rules and details will be provided during the Championship. The decisions of the Sponsor are final and binding.

GRAND PRIZE: There shall be one (1) Grand Prize Winner of the Championship. The Grand Prize Winner will receive (a) US $10,000 in cash, (b) a lifetime subscription to Netflix on the 3 DVDs-at-a-time unlimited plan with an approximate retail value of $1,700, and (c) the Netflix Popcorn Bowl trophy. If the Grand Prize Winner is a resident of a country other than the United States, the Grand Prize Winner will receive, as a substitute for the lifetime subscription to Netflix, an additional cash award equaling the approximate retail value of the lifetime subscription to Netflix. Any prize details not specified above will be determined by the Sponsor in its sole discretion. The prize is not transferable and must be accepted as awarded. No cash or other substitution may be made, except by the Sponsor, who reserves the right to substitute a prize (or component thereof) with another prize (or component thereof) of equal or greater value if the prize is not available for any reason as determined by the Sponsor in its sole discretion. The winner is responsible for any and all other costs and expenses not listed above. Prizes will be reported as income to a winner and the winner will be responsible for all taxes associated with the receipt of a prize.

PRIVACY AND PUBLICITY: All information submitted by entrants in the Promotion will be treated according to the Sponsor's Privacy Policy. Except where prohibited, participation in the Promotion constitutes an entrant's consent to the Sponsor's use of his/her name, likeness, voice, opinions, biographical information, and state of residence for promotional purposes in any media without further payment or consideration.

GENERAL CONDITIONS: In the event that the operation, security, or administration of the Contest is impaired in any way for any reason, including, but not limited to fraud, virus, or other technical problem, the Sponsor may, in its sole discretion, either (a) suspend the Contest to address the impairment and then resume the Contest in a manner that best conforms to the spirit of these Official Rules or (b) select Contest Winners according to the Judging Criteria from among the eligible entries received up to the time of the impairment. The Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Contest or to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. Any attempt by any person to undermine the legitimate operation of the Promotion may be a violation of criminal and civil law, and, should such an attempt be made, the Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Failure by the Sponsor to enforce any provision of these Official Rules shall not constitute a waiver of that provision. In the event of a dispute as to any online entry, the authorized account holder of the Facebook account used to enter will be deemed to be the participant. The Promotion is subject to federal, state, and local laws and regulations and is void where prohibited.

RELEASE AND LIMITATIONS OF LIABILITY: By participating in the Promotion, entrants agree to release and hold harmless the Sponsor, its officers, directors, employees, and agents (the "Released Parties") from and against any claim or cause of action arising out of participation in the Promotion or receipt or use of any prize, including, but not limited to: (a) any technical errors that may prevent an entrant from submitting an entry; (b) unauthorized human intervention in the Promotion; (c) printing errors; (d) lost, late, postage-due, misdirected, or undeliverable mail; (e) errors in the administration of the Promotion, or the processing of entries; or (f) injury, death, or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant's participation in the Promotion or receipt of any prize. Entrant further agrees that in any cause of action, the Released Parties' liability will be limited to the cost of entering and participating in the Promotion, and in no event shall the Released Parties be liable for attorney's fees. Entrant waives the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct, or indirect damages.

DISPUTES: Except where prohibited, entrant agrees that any and all disputes, claims and causes of action arising out of, or connected with, the Promotion or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in California. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, entrant's rights and obligations, or the rights and obligations of the Sponsor in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of California, without giving effect to any choice of law or conflict of law rules (whether of California or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than California.

CONTEST RESULTS: Contest winners will be posted on Facebook.
